1. Scope - Veljavnost
Austria Tourism principally only accepts contracts on the basis of the following terms and conditions. The contractual partners and/or Principal hereby expressly acknowledge that they have agreed to these legally binding terms and conditions, so that these shall constitute the subject matter of the contract. Any reference by the Principal to their own “General Terms and Conditions” shall not lead to its validity, unless expressly agreed upon in writing. Any amendments or modifications to the following terms and conditions must be made in writing and by mutual agreement, whereby the unamended terms and conditions shall remain an integral part of the contract. These terms and conditions are binding for all current and future orders of the client, even if not expressly referred to, in the currently valid version. The nullity or invalidity of a part of the General Terms and Conditions shall not affect the validity or effectiveness of the remaining parts. Void or invalid provisions shall be replaced by valid provisions, which most closely reflect the commercial intent of the original provisions.
Združenje Österreich Werbung, v nadaljnjem besedilu tudi izvajalec, sprejema naročila samo na podlagi pogojev, ki sledijo v nadaljevanju.Pogodbeni partnerji oz. naročniki izrecno priznavajo, da so se pravno obvezujoče seznanili s temi pogoji, s čimer so le-ti postali pogodbena vsebina. Sklicevanje naročnika na lastne "Splošnih pogoje poslovanja" nikakor ne vpliva na veljavnost le-teh, če to ni posebej izrecno dogovorjeno v pisni obliki. Spremembe ali dopolnitve teh pogojev poslovanja so dovoljene samo v primeru sporazumnega dogovora v pisni obliki, pri čemer nespremenjeni pogoji v vsakem primeru ostanejo pogodbena vsebina. Ti splošni pogoji, v vsakokrat veljavni verziji, so zavezujoči za vsa trenutna in prihajajoča naročila naročnika, tudi v primerih, ko to ni izrecno navedeno.
Ničnost ali neveljavnost kateregakoli dela teh splošnih pogojev ne vpliva na pravno veljavnost preostalih delov. Nične ali neveljavne določbe se nadomestijo s takšnimi ureditvami, ki so najbližje zadanemu gospodarskemu cilju.
2. Placement of an order - Naročanje
Every contractual offer directed at the Contractor shall only become binding on the latter following the issuance of a written acceptance of the offer by the competent bodies of the Contractor. Any amendments to the order following an acceptance of the order shall require a written confirmation of the Contractor in order to be valid. Any cost estimates prepared by the Contractor prior to the receipt of the contract offer are non-binding. The Contractor reserves the right to reject orders at its own discretion. Reasons for rejecting orders may, for example, include the following: (i) the order is contrary to the commercial or ethical interests of the Contractor, as set forth in the Contractor’s articles of incorporation, (ii) immoral or illegal orders, (iii) orders from companies who have not yet fully settled outstanding receivables owed to the Contractor and/or whose financial solvency and willingness is questionable based on other objective grounds, or, however, there has been a violation of the provisions of the Media Cooperation and Funding – Transparency Act (Medienkooperations- und förderungs-Transparenzgesetzes (MedKFTG)) and the Principal has failed to undertake necessary modifications, despite having been requested to do so by the Contractor.
Vsaka pogodbena ponudba, naslovljena na izvajalca, postane zanj zavezujoča šele po pisni potrditvi ponudbe s strani ustreznih organov izvajalca. Kakršnekoli spremembe po sprejemu naročila so veljavne samo ob pisni potrditvi izvajalca. Morebitni predračuni izvajalca, sestavljeni pred pogodbeno ponudbo, niso zavezujoči.
Izvajalec si pridržuje pravico po lastni presoji zavrniti določena naročila. Razlogi za zavrnitev so lahko na primer naslednji: (i) interesi naročila so v nasprotju z gospodarskimi in etičnimi interesi, ki izhajajo iz statuta izvajalca; (ii) naročila so moralno nesprejemljiva ali protizakonita; (iii) gre za naročila družb, ki niso v celoti poravnale odprtih obveznosti do izvajalca, oziroma družb, pri katerih iz drugih objektivnih razlogov obstaja utemeljen dvom glede njihove plačilne sposobnosti ali pripravljenosti za le-to, oziroma družb, ki so kršile določbe Zakona o transparentnosti medijskih sodelovanj (MedKF-TG) in kljub zahtevi izvajalca ne poskrbijo za ustrezne modifikacije.
3. Invoicing and Terms of Payment - Plačilni pogoji in izdaja računov
All prices of the Contractors are listed in euros and are exclusive of value added tax. In the case of divisible services, the contractor is entitled to issue partial invoices. The invoices of the Contractor shall become payable within 30 days from the date of the invoice, free of expenses and without any deductions, and in a manner which allows the Contractor to have the invoiced amounts at its disposal at the latest by this date. In case of a delay in payment, the Contractor shall be entitled to claim interest for late payment, amounting to 9,2 percentage points above Euribor for each outstanding amount, unless the Principal proves that it is not responsible for the delay; in this case the interest for late payment amounts to 4 percentage points. In any case and independent from any negligence the Contractor is in case of a delay in payment entitled to demand a reimbursement of any actual, necessary and appropriate dunning and collection costs incurred on him, as well as lawyer’s fees pursuant to the Austrian Law of Legal Tariffs (Rechtsanwaltstarifgesetz). If the Contractor carries out the dunning process itself, they are entitled to invoice an amount of EUR 10.90 for each dunning letter sent and an amount of EUR 3.70, on a quarterly basis, but in any case a lump sum of EUR 40. The right to claim for possible additional damages caused by the delay is reserved. In case of advance payments, which are payable to third parties by the Contractor, the Principal shall, following a submission of the invoices, be obliged to provide corresponding payments on account. Only following the receipt of such payments on account shall the Contractor be obliged to provide advance payments to third parties.
Vse cene izvajalca so v evrih in ne vključujejo davka. V primeru deljenih storitev je izvajalec upravičen do izdaje delnih računov.
Računi, ki jih izda izvajalec, morajo biti poravnani v roku 30 dni od izdaje brez odbitka in brez dodatnih stroškov, in sicer tako, da lahko izvajalec najkasneje na ta dan razpolaga z zneski, navedenimi na izdanem računu.
V primeru neplačila je izvajalec upravičen od naročnika zahtevati zamudne obresti v višini 9,2 % nad vrednostjo EURIBOR od vsakega neplačanega zneska, razen v primeru, če naročnik dokaže, da ni odgovoren za zamudo. V tem primeru znaša obrestna mera zamudnih obresti 4 %. Izvajalec je pri zamudi plačila v vsakem primeru in ne glede na krivdo upravičen do povračila dejanskih nastalih stroškov opomina in odvetniškega zastopanja v skladu z veljavnim Zakonom o odvetniški tarifi. V primeru, da izterjavo dolgov ureja izvajalec sam, ima pravico, da za vsak izdan opomin zaračuna stroške opomina v višini 10,90 EUR ter za vodenje evidence 3,70 EUR na četrtletje, vendar pa v vsakem primeru tudi pavšalni znesek v višini 40 EUR. Pridržujemo si pravico do morebitnega prekoračenja teh zneskov zamudnih obresti.
V primeru vnaprejšnjih plačil, ki jih mora izvajalec zagotoviti tretjim osebam, je naročnik po predložitvi zadevnih računov zavezan, da poravna predplačilo v ustrezni višini. Šele po prejemu predplačila je izvajalec dolžan le-to zagotoviti tretji osebi.
4. Participation of the Principal - Sodelovanje naročnika
The Principal shall support the Contractor in the provision of services, particularly with respect to the observance of binding deadlines and time limits. In so far as this is required for the provision of services, the Principal shall contribute within its framework, and shall provide the relevant information and data. The Principal shall designate a competent contact person, who shall be responsible for communication between the Contractor and the Principal. On the basis of a reasoned request from the Contractor, a new contact person shall be nominated.
Naročnik bo izvajalca podpiral pri opravljanju storitev, zlasti v zvezi z upoštevanjem obvezujočih rokov in terminov. V kolikor bo za izvedbo storitev to potrebno, bo naročnik v svojih okvirih ustrezno sodeloval in omogočil dostop do informacij ter podatkov, ki so potrebni za uspešno opravljanje storitev. Naročnik imenuje izvajalcu kompetentno kontaktno osebo, ki je odgovorna za komunikacijo med naročnikom in izvajalcem. V primeru utemeljenih razlogov lahko izvajalec zahteva, da se določi nova kontaktna oseba.
5. Withdrawal from the contract – cancellation fees - Odstop od pogodbe – stroški odpovedi
Withdrawal from the contract may only be in writing. If the withdrawal takes place up to 60 calendar days before the date of the commencement of the provision of services, the cancellation fees amount to 25 percentage points of the agreed remuneration. Up to 30 days before the date of provision of services, the cancellation fees amount to 50 percentage points of the agreed remuneration. In case of a later withdrawal the entire remuneration becomes due.
Če pride do odstopa od pogodbe do 60 koledarskih dni pred datumom začetka storitve, znašajo stroški odpovedi 25 % dogovorjenega plačila, ob odstopu od pogodbe do 30 koledarskih dni pred datumom storitve znašajo stroški odpovedi 50 % dogovorjenega plačila. V primeru poznejše odpovedi naročila je izvajalec upravičen do celotnega zneska dogovorjenega plačila.
6. Dates and deadlines - Termini
6.1 Force Majeure - Višja sila
Force majeure exists if Austria Tourism or the Contractor is prevented from fulfilling his/her contractual obligations by an event that lies outside of his/her sphere of influence and could not be foreseen or - insofar as it was foreseeable - was unavoidable. A case of force majeure is classified as such when it meets the above requirements. Force majeure includes in particular:
i. the outbreak of infectious disease, war, riot, sabotage or terrorism;
ii. Natural disasters such as lightning, fire, explosion, flood, and earthquake;
iii. official orders in connection with sub-items i. and ii .;
The contracting parties are released from fulfilling their contractual obligations in correspondence with the extent and duration of the force majeure event. If the mutual services are to be provided in connection with a fixed delivery date, both contracting parties are permanently released from the mutual obligations in the event of force majeure. Both contracting parties bear the costs incurred by themselves. Costs that the Contractor incurred by way of third parties in connection with the order in question before the occurrence of this event will be borne by the Contractor. The contracting party affected by an event of force majeure must immediately and demonstrably notify the other contracting party of the occurrence of a force majeure event. The expected duration of this event and the extent to which the fulfilment of the contractual obligations is impaired must be disclosed as far as possible. The contracting party affected by the force majeure event must make all reasonable efforts to re-fulfil the contract as soon as possible, provided that the subject of the contract is not one with fixed delivery date(s), where time is of the essence. In the event that a force majeure event interrupts the fulfilment of the contractual obligations for more than 6 weeks, both contracting parties are entitled to withdraw from the contract. If the Principal withdraws from the contract, they have to reimburse the Contractor for the costs incurred up to the withdrawal from the contract. It is hereby made clear that no contracting party can assert claims for damages due to a contract termination or delay in the provision of services in the event of force majeure. The regulations set out above also apply to other extraordinary events over which the Contractor has no direct influence. This includes, for example, operational disruptions, strikes, traffic disruptions, etc. Such circumstances shall also include events pertaining to subcontractors of the Contractor and other third parties with whom the Contractor has a business relationship.
Višja sila nastopi takrat, ko naročnik in izvajalec ne moreta izpolniti svojih pogodbenih obveznosti zaradi dogodkov, na katere nimata vpliva, jih nista mogla predvideti ali, v kolikor bi jih lahko predvideli, jih ne bi bilo mogoče preprečiti.
Za višjo silo veljajo, v kolikor izpolnjujejo zgornje zahteve, predvsem sledeči primeri:
i. izbruh nalezljivih bolezni epidemioloških razsežnosti, vojna, izgredi, sabotaže ali terorizem;
ii. naravne katastrofe, kot so udarci strel, požar, eksplozije, poplave in potresi;
iii. odredbe domače ali tuje oblasti v zvezi s točkama i. in ii.;
Pogodbeni stranki sta v obsegu in za čas trajanja dogodka višje sile oproščeni izpolnjevanja pogodbenih obveznosti. Če so vzajemne storitve vezane na posel z določenim fiksnim datumom, sta v primeru višje sile obe pogodbeni stranki trajno oproščeni vzajemnih obveznosti. Obe pogodbeni stranki sami nosita svoje nastale stroške. Stroške, ki jih je imel izvajalec pri tretjih osebah v zvezi s predmetnim naročilom pred nastopom tega dogodka, nosi naročnik.
Stranka, ki jo je prizadela višja sila, mora nemudoma o tem dokazljivo obvestiti drugo pogodbeno stranko. Ob tem je potrebno, v kolikor je to mogoče, sporočiti predvideno trajanje dogodka in obseg vpliva dogodka na izpolnjevanje pogodbenih obveznosti. Pogodbena stranka, ki jo je prizadela višja sila, se mora po najboljših močeh potruditi, da ponovno začne izpolnjevati pogodbene obveznosti kakor hitro je to mogoče, v kolikor predmet pogodbe ni bil posel z določenim fiksnim datumom.
V kolikor višja sila ovira izpolnjevanje pogodbenih obveznosti več kot šest (6) tednov, sta obe pogodbeni stranki upravičeni do odstopa od pogodbe. V kolikor od pogodbe odstopi naročnik, mora izvajalcu poravnati stroške, ki so nastali pred odstopom od pogodbe.
Jasno navajamo, da na podlagi odstopa od pogodbe ali zamude pri izpolnjevanju storitev zaradi višje sile, nobena pogodbena stranka ni upravičena do uveljavljanja odškodninskih zahtevkov.
Zgoraj navedena pravila veljajo tudi za druge izredne dogodke, na katere izvajalec nima neposrednega vpliva. To so npr. motnje v proizvodnji, stavke, ovire v prometu ipd. Za take okoliščine veljajo tudi dogodki pri podizvajalcih ali drugih tretjih osebah, ki poslovno sodelujejo z izvajalcem.
6.2 Failure to meet the agreed date of delivery for other reasons - Neizpolnjevanje roka storitev iz drugih razlogov
If the Contractor is unable to meet the agreed date of delivery, the Contractor will grant a reasonable grace period of at least 2 weeks without the client having any claims of any kind from this delay, unless the Contractor was grossly at fault for this delay or intentionally it brought about. This period begins with the receipt of a written reminder sent to the Contractor, which fulfills the stated requirement (setting of a grace period).
V kolikor izvajalec ne zmore upoštevati dogovorjenih terminov, mu naročnik odobri razumno podaljšanje roka v obsegu vsaj dveh (2) tednov, brez da bi naročnik lahko uveljavljal kakršnekoli pravice, ki izhajajo iz te zamude, razen v primeru, če je zamuda nastala po krivdi izvajalca oziroma jo je le-ta povzročil namerno ali iz malomarnosti. To dogovorjeno obdobje začne veljati s prejemom opomina, ki je bil izvajalcu poslan priporočeno in izpolnjuje zgoraj navedene pogoje (podaljšanje roka).
7. Assignment of orders - Posredovanje naročila
The Contractor shall be entitled to assign the order or parts thereof to third parties, in so far as this does not impinge upon the legitimate interests of the Principal. The Principal shall inform the Contractor of any such interests prior to placing the order. In case of an assignment of significant part of the order, it shall inform the Principal of the intended assignment. Parts of the order are deemed significant in this sense if they exceed at least half of the entire order in value, whereby the total order value shall amount to a minimum of EUR 10,000, in order to trigger to the duty to warn. This information requirement also exists with respect to those part of the order, which were expressly described as significant by the Principal at the time of the placement of the order.
Izvajalec ima pravico, da naročilo v celoti ali delno preda tretji osebi, v kolikor to ne krši upravičenih interesov naročnika. Naročnik mora izvajalca že pred oddajo naročila obvestiti o tovrstnih interesih. Izvajalec v primeru prenosa pomembnih delov naročila obvesti naročnika o načrtovanem prenosu. Deli naročila so bistveni v smislu, če njihova vrednosti presega najmanj polovico višine celotnega naročila, pri čemer mora skupna vrednost naročila znašati najmanj 10.000 EUR, da je tovrstno obveščanje obvezno. Ta obveznost obveščanja obstaja tudi v zvezi s tistimi deli naročila, ki jih je naročnik izrecno označil kot bistvene že pri oddaji naročila.
8. Defective performance of the contract - Pomanjkljivosti pri izpolnjevanju pogodbenih obveznosti
The Contractor guarantees the proper performance of the contract. The warranty period is 6 months from the performance of the order. For overall orders the guarantee period for parts of the order, commences following the rendering of the respective partial performance. In case of improper performance of the order (non-performance, faulty performance), the Contractor may choose between rectifying the defect or having it rectified or granting an appropriate reduction in price or offering a replacement as a means of remedying the defect. The Principal shall notify the Contractor in writing and without delay of any defects in the contract execution, which become apparent, at the latest within two weeks following the provision of the service, specifying the individual defects, failing which any guarantee claim shall be forfeited. Section 924 sentence 2 ABGB does not apply.
Izvajalec zagotavlja pravilno izpolnitev pogodbenih obveznosti. Garancijski rok znaša šest (6) mesecev po izvedbi naročila. V primeru skupnih naročil začne garancijski rok za delna naročila veljati po izvedbi določene delne storitve. V primeru pomanjkljivosti pri izpolnjevanju pogodbenih obveznosti pri naročilu (neizpolnitev, nezadovoljiva izvedba) se lahko izvajalec odloči, ali bo poskrbel za odpravo pomanjkljivosti ali zagotovil razumno znižanje cene ali odpravil napako/pomanjkljivost z zamenjavo. Naročnik mora o morebitni pomanjkljivosti pri izpolnjevanju pogodbenih obveznosti nemudoma, vendar najkasneje v roku dveh tednov po opravljeni storitvi, pisno obvestiti izvajalca in pri tem podrobno pojasniti posamezne specifične pomanjkljivosti. 2. poved 924. člena Občega državljanskega zakonika (nem. Allgemeines bürgerliches Gesetzbuch) se ne uporablja.
9. Damages and Product Liability - Nadomestilo škode in jamstvo
With respect to working basis made available by the Principal to the Contractor, the former shall guarantee that this is free from any third party rights and that the Principal indemnifies and holds harmless the Contractor from and against any third party claims.
Furthermore, the Contractor shall not assume any responsibility with respect to the admissibility of advertising campaigns, in so far as the content thereof has been devised or developed in any other way by the Principal. The Principal shall rather itself be responsible for verifying the statutory requirements or having it verified. Should the illegality of an advertising campaign, which has been created or developed by the Principal in some other manner, give rise to claims against the Contractor, the Principle shall be obliged to indemnify and hold the Contractor harmless thereof.
If the Contractor notices a violation of statutory provisions, it can, at any time, demand that changes and additions be made to the order. Should the Principal refuse to implement a necessary amendment in accordance with the statutory provisions, the Principal shall bear the risk of nonperformance. The Principal shall not be entitled to any warranty claims or damages, it shall however be liable to pay the agreed remuneration.
In all cases concerning damages, the Contractor’s liability for loss of earnings, for consequential damages and third party claims, as well as slight negligence shall, insofar as this is permitted by law, be excluded. Liability expires within 6 months of the client becoming aware of the damage and the damaging party. If the Contractor performs the order with the help of third parties and claims for damages against these third parties arise in this context, the Contractor is entitled to assign these claims to the Principal. In this case, the client will give priority to these third parties.
Glede na delovne podlage, ki so bile izvajalcu dane na voljo s strani naročnika, slednji zagotavlja, da uporaba le-teh ni v nasprotju s pravicami tretjih oseb. Naročnik potrjuje, da je izvajalec izključen kakršnekoli odgovornosti pri terjatvah in pritožbah s strani tretjih oseb.
Poleg tega izvajalec ne prevzema nikakršne odgovornosti za dopustnost oglaševalskih kampanj, v kolikor so bile te vsebinsko ali na kakršenkoli drugačen način pripravljene s strani naročnika. Naročnik bo s tem povezane pravne pogoje na lastno odgovornost preučil in preveril. V kolikor protipravnost določene oglaševalske kampanje, ki je bila vsebinsko ali na drug način pripravljena s strani naročnika, vodi do zahtevkov zoper izvajalca, se naročnik obvezuje, da je izvajalec izključen vsakršne odgovornosti pri terjatvah in pritožbah s strani tretjih oseb.
V kolikor izvajalec ugotovi kršitev zakonskih določb, lahko kadarkoli zahteva spremembo in dopolnitev sklenjene pogodbe. Če naročnik zavrne izvedbo sprememb, ki so v skladu z zakonskimi določbami, nosi celotno tveganje glede neizpolnjevanja obveznosti naročnik. Naročnik ni upravičen do kakršnekoli garancije ali odškodnine, dolguje pa dogovorjeno plačilo.
V vseh primerih odškodnin je izvajalec izključen odgovornosti za morebitno izgubo dobička, posledične škode in zahtevke tretjih oseb ter tudi v primeru lažje oblike malomarnosti, v kolikor je to zakonsko dopustno. Jamstvo zastara po šestih (6) mesecih od seznanitve naročnika s škodo in povzročiteljem škode. V kolikor izvajalec izpolnjuje naročilo s pomočjo tretjih oseb in v zvezi s tem pride do odškodninskih zahtevkov proti tem tretjim osebam, ima izvajalec pravico da te zahtevke odstopi naročniku. V tem primeru se bo naročnik prednostno držal teh tretjih oseb.
10. Ownership and rights of use - Lastnina in pravice uporabe
The Principal shall be granted solely a non-exclusive right of use over all documents, materials, ideas, as well as other services, made available to it, for the purpose and to the extend specified in the contract. An assignment of such rights to third parties is not permitted and should the Principal violate this provision, it shall be liable to pay a contractual penalty, irrespective of fault, amounting to 50% of the net order value (excl. VAT); this is without prejudice to further claims of the Contractor. Any changes to the services rendered shall require the Contractor’s consent, as well as the additional consent of the authorised copyright owner.
Za vse dokumente, gradiva, ideje in druge storitve prejme naročnik zgolj ne-izključno pravico do uporabe v pogodbeno dogovorjene namene in v pogodbeno dogovorjenem obsegu.
Naročnik tega gradiva ne sme posredovati tretjim osebam in je v primeru kršitve dolžan poravnati globo v višini 50 % neto vrednosti naročila (brez DDV), kar pa ne vpliva na nadaljnje zahtevke izvajalca. Spremembe opravljenih storitev zahtevajo soglasje izvajalca in v skrajnem primeru lastnika avtorskih pravic.
11. Inventions - Iznajdbe
All rights to inventions and other industrial property rights in works and inventions of its employees, which arise in the course of the provision of service, shall belong to the Contractor.
Vse pravice do izumov in druge pravice industrijske lastnine glede del in izumov s strani zaposlenih, ki so bili ustvarjeni v okviru izvajanja storitve, so pridržane izvajalcu.
12. Labelling - Označitev
The Contractor shall be entitled to point out its trademark ownership with respect to all services it provides, without this giving rise to any claims whatsoever for the Principal.
Izvajalec je upravičen do tega, da se pri vseh opravljenih storitvah sklicuje na lastno avtorstvo, brez da bi bil naročnik pri tem upravičen do kakršnihkoli zahtevkov.
13. Non-Disclosure - Zaupnost
Both contracting parties shall be prohibited from using any trade and business secrets, as well as information, regarding the type, scope of business and practical activities of the other contracting party, they may have received from their respective counterpart – even if by chance – either themselves or from disclosing this to third parties, both during and even after the signing of the contract.
Obema pogodbenima strankama je prepovedano poslovne skrivnosti, pa tudi informacije o vrsti, obsegu in praktičnih dejavnostih druge pogodbene stranke, ki sta jih stranki prejeli zavestno ali po naključju, med ali po zaključitvi pogodbe, uporabljati v lastne namene ali posredovati naprej tretjim osebam.
14. Trademark rights - Pravice industrijske lastnine
The acquisition of the industrial property rights (design, trademark, patent, utility model right as well as copyright) shall be deemed compensated for with the agreed remuneration, insofar as this acquisition is necessary for the contractually compliant use by the Principal.
With respect to such working bases, which have been made available to the Contractor by the Principal, the latter guarantees that this is free from any third party rights and that the Principal indemnifies and holds harmless the Contractor from and against any third party claims.
With respect to all documents, materials, ideas and other services, placed at the disposal of the Contractor by the Principal for the purpose of the fulfilment of the contract, the Contractor shall merely retain a nonexclusive right of use for the purpose, and within the scope, stipulated by the contract. A transfer to any third party by the Contractor shall not be permitted. A transfer, within the scope of a sub contract shall however be permissible pursuant to clause 7.
Za pridobitev pravic industrijske lastnine (pravic v zvezi z vzorci, blagovnimi znamkami, patenti, uporabnimi modeli in avtorskih pravic) mora naročnik izvršiti dogovorjeno plačilo, v kolikor je nakup le-teh potreben za uporabo v skladu s pogodbo. Glede na delovne podlage, ki so bile izvajalcu dane na voljo s strani naročnika, slednji zagotavlja, da uporaba le-teh ni v nasprotju s pravicami tretjih oseb in da je izvajalec izključen kakršnekoli odgovornosti pri terjatvah in pritožbah s strani tretjih oseb.
Za vse dokumente, gradiva, ideje in druge storitve, ki jih naročnik v okviru naročila zagotovi izvajalcu, prejme izvajalec zgolj ne-izključno pravico do uporabe v pogodbeno dogovorjene namene in v pogodbeno dogovorjenem obsegu. Gradiva izvajalec ne sme posredovati tretjim osebam. Dovoljeno je posredovanje gradiva v obsegu prenosa naročila v skladu s 7. točko.
15. Assignment - Cesija
An assignment of the Principal’s claims against the Contractor, resulting from the contract, shall only be permissible with the express written consent of the Contractor.
Prenos zahtevkov, ki izhajajo iz pogodbe, z naročnika na izvajalca, je mogoč samo ob izrecnem pisnem soglasju izvajalca.
16. Set-off - Pobot/kompenzacija
Set-offs against the Contractor’s claims or an assertion of a right of retention by the Principal shall only be permissible if the claims or the Principal’s right are/is beyond dispute or have/has been deemed legally valid by a court of law.
Kompenzacija za zahtevke izvajalca ali uveljavljanje zastavne pravice s strani naročnika sta dovoljeni le, če so zahtevki ali pravica naročnika nesporni ali pravnomočno določeni.
17. Place of Performance and Jurisdiction - Kraj izpolnitve obveznosti in sodna pristojnost
The parties agree that Vienna shall be the place of payment and performance, unless otherwise expressly stated in the order. The contracting parties hereby agree that the respective competent court within the jurisdictional district of the First District of Vienna, shall have exclusive jurisdiction over any disputes arising from or in connection with the contract.
Kraj izpolnitve obveznosti za vse zahtevke, plačila in obveznosti je Dunaj, razen če je v naročilu izrecno navedeno drugače.
V primeru sporov, ki izhajajo iz te pogodbe, se pogodbeni stranki dogovorita, da je za njih izključno pristojno stvarno ustrezno sodišče uradnega sodnega okoliša Wien Innere Stadt (Dunaj, notranje mesto).
18. Applicable Law - Veljavna zakonodaja
The contract as well as any disputes regarding the valid conclusion of the contract shall be exclusively governed by Austrian law, to the exclusion of the reference norms of the Austrian Private International Law Act (IPRG) and the UN sales law.
Pogodba in vsi pravni spori v zvezi z veljavno sklenitvijo in uresničevanjem pogodbe, so izključno predmet avstrijskega prava, ob izključitvi referenčnih norm mednarodnega zasebnega prava in kupnega prava Združenih narodov.
